In Missouri The Judgment Comes Before The Complaint

Missouri did not export this problem. It keeps it at home. The state permits the confession of judgment in commercial contracts, which means the merchant cash advance funder does not need a New York forum or a distant court to enforce against a Missouri business. It can enter judgment here, in a Missouri courthouse, on the strength of a clause the owner signed, before that owner has seen a complaint or been offered a hearing. The defense was waived in the agreement, on a page past the remittance schedule, in a paragraph the salesman skipped on the phone.

The sequence runs backward from what an owner expects. The clause is signed. The judgment is entered on that clause without a hearing. The funder takes the judgment to the bank, the bank freezes the account, and only then, after the freeze, does the owner learn that any of it happened. The first notice of the judgment is frequently the bank's letter, which is to say the notice arrives after the consequence it was supposed to warn of.

The Petition Reverses Who Carries The Weight

An owner can fight back, and Missouri courts will entertain a petition to open or set aside the judgment, but the weight has shifted. You are no longer defending a lawsuit a funder must prove. You are asking a court to undo one you already lost, on terms you agreed to, and the burden of persuasion sits on your side of the table now. There are real arguments for opening these judgments, particularly where the conditions Missouri attaches were not met. In practice they tend to confirm how much easier it is to enter such a judgment than to dislodge it.

In 2024 Missouri enacted a commercial-financing disclosure law, and the timing invites a comparison the law cannot survive. The statute requires the funder to state the price of the advance: the amount financed, the charge, the rate. It is a genuine improvement and it solves nothing the confessed judgment creates. A disclosure tells the owner the price of the thing. It does not cap the price, it does not stop the daily debit, and it most certainly does not stop a judgment the owner consented to three clauses below the figure the law now requires the funder to print.

The legislature wrote a law about reading the price. The funder had already written a clause about skipping the trial. Both clauses sit in the same agreement, on facing pages, doing opposite work.

The Argument That Outlives The Judgment

The disclosed price and the confessed judgment both sit on top of an older question, and the question is whether the funder was entitled to the price at all. The contract calls itself a purchase of future receivables, not a loan, and a purchase carries a factor rate where a loan carries interest, and only interest is capped. Whether a court recharacterizes the purchase as a loan turns on conduct: whether the reconciliation clause adjusts remittance to receipts as written, whether remittance is fixed in fact, whether the funder bore any of the risk a true buyer of receivables would bear. A confessed judgment can be attacked on that ground, and the national record gives the attack weight. The New York Attorney General resolved an action against Yellowstone Capital in a consented judgment of $1.065 billion, with roughly $534 million in balances canceled, and secured a separate judgment exceeding $77 million against Richmond Capital Group and Jonathan Braun, both for treating these advances as the loans the contracts deny they are.

Then the arithmetic decides the rest. A judgment against an insolvent business is paper that costs money to enforce, a garnished empty account returns an empty account, and an owner who closes pays no one, so a funder holding a Missouri judgment against a company with nothing left in it holds a number it cannot collect. Of the home-state files of this kind we opened last quarter, the funder accepted a fraction of the judgment in seven of them, because a fraction of a real payment beats the whole of an uncollectable one.
